On December 5, 2025, Jefferies entered into an agreement to acquire a 50% interest in Hildene Holding Company, LLC, the parent of Hildene Capital Management, LLC and its affiliates (“Hildene”). Subject to customary closing conditions, including receipt of required regulatory and client approvals, the transaction is expected to close in the fourth quarter of 2026 however there can be no assurances that the closing conditions will be met or that the transaction will be consummated.
